1. Acceptance of Terms

By accessing and using Zoyix's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service govern your use of our website located at www.zoyix-bags.com and the purchase of products from Zoyix.

2. Product Information and Availability

We strive to provide accurate product descriptions, specifications, and pricing information. However, we do not warrant that product descriptions or other content is accurate, complete, reliable, current, or error-free.

  • All products are subject to availability and may be discontinued without notice
  • Colors may vary slightly from those shown on your display
  • We reserve the right to establish Minimum Order Quantities (MOQ) for all products, which will be confirmed during the quotation process.

3. Purchase Orders and Payment Terms

All orders are initiated through a formal quotation process. An order is considered confirmed only upon the client's signed acceptance of our official Proforma Invoice (PI) or our acceptance of the client's formal Purchase Order (PO). All orders are subject to our final written confirmation.

Payment Terms

  • Payment Method: Our primary payment method is Telegraphic Transfer (T/T).
  • Payment Structure: Our standard term is a [30%] deposit to confirm the order and begin production, with the [70%] balance payable before the shipment.
  • Other Methods: Letter of Credit (L/C) at sight may be accepted for large-value orders, subject to our prior written agreement.
  • Sample Fees: Sample costs and courier fees must be paid in full in advance.

Order Processing & Lead Time

  • Lead Time: The production lead time (typically [30-60] days) begins after the deposit is received and all production details (including pre-production sample approval) are confirmed by the client.
  • • Confirmation:
    A formal Sales Contract or Proforma Invoice (PI) will be issued, detailing all agreed-upon specifications, pricing, quantities, and shipping terms (Incoterms).
  • Shipping: Logistics and documentation (Bill of Lading, Commercial Invoice, Packing List) will be handled professionally according to the agreed Incoterms (e.g., FOB, CIF, EXW).

4. Logistics

Our services are provided under internationally recognized Incoterms (e.g., FOB, CIF, EXW) which will be clearly stated on your Proforma Invoice (PI). We do not operate an online 'checkout' system; all logistics and shipping costs are calculated and confirmed during the formal quotation process.

Key Terms

  • Shipping Terms (Incoterms):We are flexible to operate under various Incoterms. Our most common terms are FOB Xiamen, CIF [Customer's Port], DDP and EXW (Ex-Works).
  • Logistics Service:We have a professional logistics department that can manage your shipment, book freight (LCL or FCL), and handle all required documentation.
  • Documentation: We provide a full set of standard export documents, including the Bill of Lading (B/L), Commercial Invoice, and Packing List.
  • Duties and Taxes:Unless operating under DDP terms, the customer (importer) is responsible for all customs clearance, duties, and taxes in the destination country.

5. Quality Assurance and Claims Policy

We stand behind the quality of our custom manufacturing. As all orders are OEM/ODM and produced to client specifications, we do not accept returns or offer refunds for non-defective goods. Claims for manufacturing defects must be handled as follows:

Inspection Period

Within 14 Days of Arrival Client must inspect goods and submit any claims

Claim Process

Written Claim with Evidence Requires detailed photos, videos, and/or inspection reports

Our Solution

Case-by-Case Resolution Solutions may include: credit note for next order, or replacement of defective units.

6. Quality Control and Compliance

We are committed to strict quality standards. Our manufacturing process is governed by a comprehensive Quality Management System (QMS) to ensure all products meet the technical specifications and quality requirements agreed upon with the client.

Force Majeure

Zoyix shall not be liable for any delay or failure in performance arising from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials. In such events, the delivery date shall be extended by a period equal to the delay caused by the Force Majeure event.

10. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with these Terms shall be submitted to the competent courts located in Xiamen, People's Republic of China for resolution.

Alternative Dispute Resolution

Before pursuing legal action, we encourage customers to contact our customer service team to resolve any issues amicably. We are committed to finding fair solutions for all parties involved.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the new terms.
